Ownership
The Software is leased, not sold. All Software (including any changes you may request or suggest) is the property of ezEMRx. Title to each copy of the Software and all related intellectual property rights embodied in or represented by the Software will remain with ezEMRx at all times, as will all other rights not explicitly granted to you under this agreement.

License grant
ezEMRx grants you a nonexclusive, limited license to use the Software solely in object code form, provided you comply with all the terms and conditions of this agreement.

 

Confidentiality
All Software, including its existence and features and related information, are proprietary and confidential information of ezEMRx. You agree not to disclose or provide Software, its Documentation, or any related information to any third party, for a period of one year following the Delivery Date of the Software.

 

Copying, Distribution and Use
You may not copy the Software. You may not resell, rent, lease, sublicense or redistribute Software or its licenses or use or permit others to install or directly or indirectly access or use the Software, its functionality, or its licenses, except as provided in this agreement.

 

Reverse Engineering, Decompilation, and Disassembly
You may not reverse engineer, decompile, or disassemble the Software or otherwise attempt to derive its source code, or otherwise attempt to reconstruct, identify or discover any underlying ideas, underlying user interface techniques or algorithms, or source code, or disclose any of the foregoing except and only to the extent that any of these activities is permitted by applicable law.

 

Modifications and Derivative Works
You may not modify or create derivative works of the Software.

 

Acceptable Use
You may not use the Software for a purpose or in a manner not permitted by the terms of this agreement (as it may be amended from time to time), including, without limitation, infringement of intellectual property rights. You may only use the software as designed via the user interface and trained.

Use Restrictions
You shall not, directly, or indirectly:

• use the software in a way unintended by the licensor

• try discover source code by any tool or method

• alter or modify any disabling mechanism which may be resident in the product. You acknowledge and agree that the software may have a mechanism whereby ezEMRx can disable access. You agree the ezEMRx may use any such mechanism in the event of your breach of this agreement, or a breach of your customer agreement.

• combine the software or any part thereof with, or incorporate the Software or any part thereof in, any other programs;

• remove, delete, alter, or obscure any trademarks or any copyright, trademark, patent, or other intellectual property or proprietary rights notices included on or in the Software or Documentation, including any copy thereof;

• rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise provide any access to or use of the Software or any features or functionality of the Software, for any reason, to any other person or entity, including any subcontractor, independent contractor, affiliate, or service provider of licensee, whether or not over a network and whether or not on a hosted basis, including in connection with the internet, web hosting, wide area network (WAN), virtual private network (VPN), virtualization, time-sharing, service bureau, software as a service, cloud, or other technology or service;

• use the software or documentation in violation of any law, regulation, or rule; or

• use the software or documentation for purposes of competitive analysis of the software, the development of a competing software product or service, or any other purpose that is to licensor’s commercial disadvantage.

 

Account Settings
Each License is intended solely for your use (or use by another End User for whom you have acquired and paid for a license). You may not transfer or share your license. You (and your licensed End Users) are solely responsible for maintaining the confidentiality and security of your Account Settings (usernames and passwords). You are solely responsible and liable for any and all use of your Account Settings and for activities that occur on or through your Account(s). You agree to notify us immediately about any unauthorized access to or use of any of your Account Settings. The Software contains technological measures designed to prevent its unlicensed or illegal use. You agree that we may use those measures.

 

Accessibility
For optimal access of the software, you are required to have an uninterrupted internet connection with a minimum bandwidth of 2mbps or greater.

 

Patient data: Ownership & Responsibility
You are the owner of all data created by you, or created by the software with respect to your practice and are also responsible for the accuracy all such data.

 

Maintenance and support
Support is provided with any ezEMRx subscription. Support includes support for usage of standard functions and any bugs that may be encountered. Bugs should be submitted via support@ezemrx.com with the exact error message and the steps that lead up to the raising of the error. ezEMRx will attempt to respond to support incidents within 24 hours of the submission via the email or phone, but does not guarantee this or a resolution time for issues. ezEMRx may not be held liable for breaching this service level. Any Updates or Upgrades ezEMRx may provide you will be covered by this agreement. Whether or not you subscribe to a maintenance and/or support offering, ezEMRx reserves the right to provide you with updates or supplements to the Software when we consider it necessary to do so to ensure that the Software functions properly. Any technical information you provide ezEMRx in connection with support services it provides you may be used by ezEMRx for its business purposes, including product and service development, subject to the terms of ezEMRx Terms and Conditions.

 

Limited warrantiers and warranty disclaimer
ezEMRx warrants that the Software will function substantially in accordance with its Documentation. As your sole exclusive remedy for breach of this warranty, ezEMRx will, at its option, fix the defective Software. ezEMRx will not be responsible for any breach of warranty under conditions of modification by End User or a third party, misused, or damaged; or any malfunctioning of Software caused by hardware or network configuration or malfunctioning or by third party software or services.

 

Exclusion of damages and limitation of liability
To the maximum extent permitted by law (including any applicable consumer protection law of a foreign jurisdiction), neither ezEMRx nor any of its directors, officers, employees, controlled or controlling entities, licensors or licensors'' distributors (each, a "released party"), will have any liability to you or any end users for indirect, incidental, special, consequential or punitive damages (including, without limitation, any loss of use, lost profits, business or revenue, loss of goodwill or other economic advantage, or loss of privacy) arising out of or related to this agreement, the software or the services, even if ezEMRx or a released party has been advised of, or knew or should have known of, the possibility of such damages. Without limiting the scope or effect, in no event will ezEMRx and the released parties'' total liability with respect to all claims arising out of or related to this agreement, the software or the services (including claims of negligence and strict liability) exceed USD500.

 

Term and termination
The term of this agreement will commence upon use of the Software and continue perpetually, unless you and ezEMRx enter into a new agreement that entirely replaces this agreement or ezEMRx terminates this agreement as provided herein. Without prejudice to any other rights, ezEMRx may terminate this agreement if you fail to comply with its terms and conditions. If ezEMRx terminates this agreement, (i) you must immediately stop using the Software, and (ii) ezEMRx will have no further obligation to provide any Services being provided to you or any End Users as of the termination date. The parties'' respective rights and obligations under Ownership, Limited Warranty and Warranty Disclaimer, Exclusion of Damages and Limitation of Liability, will survive the termination of this agreement.  ezEMRx may terminate the agreement or your access immediately or you maybe subject to penalties if ezEMRx becomes aware of or suspects any unlawful use of its software; provided, the parties agree ezEMRx has no duty to monitor for such unlawful use.

 

Severability
If any provision of this agreement is declared to be unenforceable for any reason, the remainder of this agreement will continue in full force and effect, and the unenforceable provision will be deemed modified to the extent necessary to comply with the applicable requirements of law, while retaining to the maximum extent permitted by law its intended effect, scope and economic effect.

 

Governing Law
The interpretation and performance of this agreement will be governed by the laws of the State of Illinois, USA
 
Assignment
ezEMRx may assign, in whole or in part, its rights and obligations in connection with this agreement issued pursuant to this agreement to any ezEMRx affiliate. The term "ezEMRx" means ezEMRx, Inc and its affiliates. The term "Software" or "EHR" refers to "ezEMRx" software product.

 

Additional modules
ezEMRx includes third party subscriptions, compliances and certifications in its products. ezEMRx is subject to price changes by the vendors or third parties at anytime. ezEMRx is also subject compliance and certification fees. In the event of such price increments or fees, ezEMRx may choose to charge the increment.
